By accessing or using the ZeroGap platform at zerogap.online ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you ("User") and ZeroGap Technologies LLC ("ZeroGap", "we", "us"), a company registered in Dubai, United Arab Emirates.

If you do not agree to these Terms, you must not access or use the Platform. By completing registration, you confirm that you have read, understood, and agreed to these Terms in full.

To register on ZeroGap, you must:

• Be at least 18 years of age
• Have the legal authority to enter into binding contracts on behalf of yourself or your company
• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information as required
• Represent a legitimate business entity engaged in construction, materials procurement, or materials supply

ZeroGap reserves the right to refuse registration, suspend, or terminate any account at its sole discretion without notice if these conditions are not met.

ZeroGap operates as a B2B procurement engine that connects construction material buyers with verified material suppliers. The Platform provides:

• A procurement engine for buyers to post material requirements and receive competitive bids
• A bidding environment for verified suppliers to submit offers on buyer requirements
• Secure escrow payment services for confirmed transactions
• Communication tools for buyers and suppliers to interact within the Platform
• Analytics and transaction history tools for registered users

ZeroGap is not a party to any transaction between buyers and suppliers. We provide the infrastructure and facilitation services only. The contractual relationship for any transaction is strictly between the buyer and the supplier.

All users of the Platform agree to:

• Provide truthful and accurate information in all postings, bids, and communications
• Not post requirements or bids for goods that are illegal, counterfeit, or prohibited in the destination country
• Not attempt to circumvent the Platform by conducting transactions agreed on ZeroGap outside the Platform
• Not share account credentials with third parties
• Not use the Platform for any fraudulent, deceptive, or unlawful purpose
• Comply with all applicable local, national, and international laws and regulations

ZeroGap offers Free and Premium subscription plans as described on the Pricing page. By subscribing to a Premium plan, you agree to the following:

• Subscription fees are charged in advance on a monthly or annual basis
• Subscriptions automatically renew unless cancelled before the renewal date
• All fees are non-refundable except within the first 7 days of your first paid subscription
• ZeroGap reserves the right to modify pricing with 30 days advance notice to existing subscribers
• Transaction fees may apply to deals completed through ZeroGap Escrow, as disclosed prior to transaction

For transactions processed through ZeroGap Escrow:

• Buyer deposits the agreed transaction amount into the ZeroGap Escrow account prior to shipment
• Funds are held securely until the buyer confirms satisfactory delivery of materials
• Upon buyer confirmation, funds are released to the supplier within 3–5 business days
• In the event of a dispute, funds remain in escrow pending resolution
• ZeroGap is not responsible for the quality, legality, or fitness of goods exchanged between parties

In the event of a dispute between a buyer and supplier, both parties must first attempt to resolve the matter directly through the Platform messaging system. If resolution is not reached within 5 business days, either party may submit a formal dispute to ZeroGap at hello@zerogap.online.

ZeroGap will review submitted disputes and provide a determination within 10 business days. For disputes involving significant sums or legal complexity, parties may escalate to the DIFC Courts of Dubai, UAE, which shall have exclusive jurisdiction.

To the fullest extent permitted by applicable law, ZeroGap shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to loss of profits, loss of data, or business interruption.

ZeroGap's total cumulative liability to you for any claim arising from or related to your use of the Platform shall not exceed the total subscription fees paid by you in the 12 months preceding the claim.

All content, design, software, trademarks, and materials on the ZeroGap Platform are the exclusive property of ZeroGap Technologies LLC. You may not reproduce, distribute, modify, or create derivative works without prior written permission.

By submitting content to the Platform (requirements, bids, descriptions, documents), you grant ZeroGap a non-exclusive, royalty-free licence to use such content solely for the purpose of operating the Platform.

ZeroGap reserves the right to suspend or permanently terminate your account without notice if you violate these Terms, engage in fraudulent activity, or if required by applicable law. Upon termination, your right to access the Platform ceases immediately. Any outstanding transaction obligations remain binding.

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates and the Emirate of Dubai. Any legal proceedings shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE, or the DIFC Courts where applicable.
